1. Overview & Platform Description

These Terms and Conditions ("Terms") govern your registration and participation as a Direct Sales Agent ("DSA Partner" or "Partner") on the LendMitra platform, operated by Karuppali Fin Mithra (OPC) Private Limited ("Company", "we", "us", or "LendMitra"), a company incorporated under the Companies Act, 2013, having its registered office at Kozhikode, Kerala, India.

LendMitra is a loan distribution and referral platform. We are not a bank, Non-Banking Financial Company (NBFC), or lending institution. We do not disburse loans, hold deposits, or provide credit. We act solely as an intermediary connecting DSA Partners with our partner lending institutions (banks and NBFCs regulated by the Reserve Bank of India). All credit decisions, interest rates, loan approvals, and disbursals are made exclusively by the respective lending institution.

By registering on this platform or submitting a partner application, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Partner Eligibility

To register as a LendMitra DSA Partner, you must:

• Be an Indian citizen, 18 years of age or older
• Possess a valid PAN card issued by the Income Tax Department of India
• Hold an active bank account in your name for commission disbursements
• Not be a discharged insolvent or have any pending criminal proceedings related to financial fraud
• Not be currently employed by any bank or NBFC in a role that creates a conflict of interest with DSA activities, unless you have obtained written permission from your employer
• Comply with all applicable laws, including the Prevention of Money Laundering Act, 2002 (PMLA) and the Foreign Exchange Management Act, 1999 (FEMA)

LendMitra reserves the right to verify your eligibility and reject or terminate your registration at its sole discretion without providing reasons.

3. Partner Obligations

As a LendMitra DSA Partner, you agree to:

• Disclose your DSA status: Always identify yourself as a DSA Partner of LendMitra — and not as an employee, officer, or representative of any lending institution — when interacting with prospective loan applicants.
• Customer consent: Obtain explicit, informed consent from every prospective borrower before submitting their personal or financial information to any lending institution, including consent for credit bureau (CIBIL/Experian/Equifax/CRIF) enquiries.
• No upfront fees: You must not collect any upfront processing fees, documentation charges, or advance deposits from loan applicants.
• Accurate information: Submit only accurate, complete, and unaltered customer documents and information.
• Data protection: Handle all customer personal and financial data with strict confidentiality.
• Compliance: Abide by all RBI Fair Practices Code guidelines, the Credit Information Companies (Regulation) Act, 2005, and the Digital Personal Data Protection Act, 2023.
• No misrepresentation: Do not guarantee loan approvals, specific interest rates, or specific loan amounts to customers.

4. Commission & Payments

Commission rates displayed on the LendMitra platform are indicative and subject to the specific DSA agreement executed between you and each partner lending institution. Commissions are earned only upon successful loan disbursal. TDS will be deducted as applicable under the Income Tax Act, 1961. LendMitra is not liable for delays caused by lending institutions or banking processes.

5. Prohibited Activities

• Submitting fabricated, altered, or incomplete customer documents
• Collecting money from customers under any pretext
• Representing yourself as an employee or agent of any lending institution
• Soliciting customers for financial products not offered through LendMitra
• Using the LendMitra name, logo, or branding without prior written consent
• Conducting any activity that constitutes money laundering, fraud, or misrepresentation

6. Limitation of Liability

To the maximum extent permitted by applicable law, LendMitra, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation as a DSA Partner. LendMitra' total aggregate liability shall not exceed the total commissions paid to you in the three (3) months preceding the claim.

7. Termination

Either party may terminate the DSA partnership by providing 30 days' written notice. LendMitra may terminate with immediate effect in cases of fraud, breach of Terms, or regulatory non-compliance.

8. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of the courts in Kozhikode (Calicut), Kerala, India.

9. Amendments

LendMitra reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date.
